1. Agreement to Terms
By accessing our website (thegroundworkway.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.
These terms apply to all visitors, users, and clients of GroundWork.
2. About GroundWork
GroundWork provides business coaching, strategic consulting, and fractional COO/CEO services for startup founders and entrepreneurs. Our services are provided by Callum Drabble, operating as GroundWork, based in the United Kingdom.
3. Services
Our services include but are not limited to:
- 1:1 founder coaching sessions
- Strategic business consulting
- Fractional COO/CEO support
- Technology strategy guidance
- Operational process improvement
- Investment readiness support
The specific services, deliverables, and terms for each engagement will be agreed upon before commencement and may be detailed in a separate service agreement.
4. Discovery Calls
We offer free 30-minute discovery calls to prospective clients. These calls are:
- Non-binding and without obligation
- Intended to assess mutual fit and discuss your needs
- Confidential (see Section 9 below)
Booking a discovery call does not constitute a contract for services.
5. Fees and Payment
Pricing: Our services are offered at various price points as displayed on our website. Prices are subject to change and will be confirmed before any engagement begins.
Payment Terms:
- Monthly retainer services are payable in advance at the beginning of each month
- Payment methods will be agreed upon before engagement
- All prices are quoted in GBP unless otherwise specified
- VAT will be added where applicable
Late Payment: We reserve the right to suspend services if payment is not received within 14 days of the due date.
6. Cancellation and Refunds
Cancellation by Client:
- Monthly services may be cancelled with 14 days' written notice before the next billing period
- Individual coaching sessions may be rescheduled with 24 hours' notice
- Sessions cancelled with less than 24 hours' notice may be forfeited
Refunds:
- Pre-paid monthly fees are non-refundable once the service period has begun
- Partial refunds may be considered on a case-by-case basis at our discretion
- If we are unable to deliver agreed services, a pro-rata refund will be provided
7. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information relevant to the services
- Attend scheduled sessions and meetings on time
- Communicate openly and honestly about your business challenges
- Implement agreed-upon actions between sessions
- Respect the confidentiality of our methodologies and materials
8. No Guarantees
While we are committed to providing high-quality coaching and consulting services, we cannot guarantee specific business outcomes, revenue increases, or success. The effectiveness of our services depends on many factors, including your implementation of recommendations and market conditions beyond our control.
Our services are advisory in nature. All business decisions remain your responsibility.
9. Confidentiality
Our Commitment: We treat all client information as confidential. We will not disclose your business information, strategies, or any details shared during our engagement to third parties without your explicit consent, except where required by law.
Your Commitment: You agree to keep confidential any proprietary methodologies, frameworks, templates, or materials shared during our engagement.
Testimonials: With your permission, we may use anonymised or attributed testimonials for marketing purposes.
10. Intellectual Property
Our Materials: All frameworks, templates, methodologies, and content provided by GroundWork remain our intellectual property. You are granted a non-exclusive, non-transferable licence to use these materials for your own business purposes only.
Your Materials: You retain ownership of all your business information, strategies, and materials shared with us during our engagement.
11. Limitation of Liability
To the fullest extent permitted by law:
- Our total liability for any claims arising from our services shall not exceed the fees paid by you in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, consequential, or punitive damages
- We shall not be liable for any loss of profits, revenue, business, or data
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Website Use
When using our website, you agree not to:
- Use the site for any unlawful purpose
- Attempt to gain unauthorised access to our systems
- Copy, reproduce, or distribute our content without permission
- Use automated systems to access the site (except standard search engines)
13. Third-Party Links
Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of service of these external sites.
14. Termination
Either party may terminate an ongoing service engagement:
- With 14 days' written notice
- Immediately if the other party materially breaches these terms
Upon termination, you will pay for all services rendered up to the termination date. Sections relating to confidentiality, intellectual property, and limitation of liability shall survive termination.
15. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective when posted on this page. Your continued use of our services after changes constitutes acceptance of the updated terms.
16. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms of Service, together with our Privacy Policy and any separate service agreement, constitute the entire agreement between you and GroundWork regarding the use of our services.
